Terms of Service
Legal framework governing the supply of industrial magnetic solutions and related services
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between WZ Magnetics ("Company", "we", "us") and the purchasing entity ("Customer", "you") for the supply of industrial magnetic products and related services.
By placing an order, accepting delivery, or using our products, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
2. Product Specifications and Performance
Performance specifications are provided as engineering guidance based on controlled testing conditions and may vary in actual field applications.
Holding Force Ratings: Specified values are measured under standardized conditions using clean, flat steel surfaces with minimum thickness of 10mm. Actual performance may vary based on surface conditions, temperature, and application method.
Environmental Ratings: Temperature and corrosion resistance specifications apply to standard operating conditions. Extended exposure to extreme environments may affect performance.
Custom Solutions: Performance characteristics of custom magnetic assemblies are validated through agreed testing protocols and documented in specific product datasheets.
3. Liability Framework and Risk Allocation
Critical Safety Notice
Magnetic products are industrial tools requiring proper engineering assessment, installation procedures, and safety protocols. Customer assumes full responsibility for application suitability and safe usage.
3.1 Limited Liability
Company's total liability for any claim arising from or related to these Terms or the products shall not exceed the purchase price paid for the specific products giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise.
3.2 Exclusion of Consequential Damages
Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, equipment damage, personal injury, or property damage arising from the use or inability to use the products.
3.3 Customer Responsibilities
Application Engineering
Customer is responsible for determining product suitability for intended applications, including load calculations, safety factors, and environmental considerations.
Safety Protocols
Implementation of appropriate safety procedures, training, and protective equipment for personnel handling magnetic products.
Installation Standards
Compliance with applicable industry standards, regulations, and best practices for magnetic product installation and use.
Inspection & Maintenance
Regular inspection of products for wear, damage, or performance degradation, and implementation of appropriate maintenance schedules.
4. Quality Assurance and Warranty
ISO 9001 Quality Management
Products manufactured under SGS-certified ISO 9001 quality management system with IATF 16949 Letter of Compliance for automotive applications.
4.1 Limited Product Warranty
Company warrants that products will be free from defects in materials and workmanship for a period of twelve (12) months from delivery date, subject to proper storage, handling, and use within specified parameters.
4.2 Warranty Exclusions
Normal wear and tear from commercial use
Damage from misuse, abuse, or operation outside specified parameters
Modifications or repairs by unauthorized parties
Environmental damage beyond specified operating conditions
5. Orders, Delivery, and Risk Transfer
5.1 Order Acceptance
All orders are subject to Company's acceptance and availability. Order confirmation constitutes acceptance. Company reserves the right to reject orders that exceed production capacity or present technical feasibility concerns.
5.2 Delivery Terms
Standard Products
Typical delivery: 2-4 weeks from order confirmation
Subject to inventory availability and production schedule
Custom Solutions
Delivery schedule established during design phase
Based on complexity and current production capacity
5.3 Risk of Loss
Risk of loss transfers to Customer upon delivery to the carrier at Company's facility (FOB Origin). Customer is responsible for inspection upon receipt and must report any damage or discrepancies within 5 business days.
6. Payment and Commercial Terms
Payment Terms: Net 30 days from invoice date for established customers. New customers may require advance payment or letter of credit.
Late Payment: Interest charges of 1.5% per month may apply to overdue amounts.
Price Changes: Prices are subject to change with 30 days written notice. Confirmed orders are protected from price increases.
7. Intellectual Property and Confidentiality
All design specifications, technical documentation, and proprietary information remain the exclusive property of Company. Customer may not reverse engineer, copy, or disclose confidential information without written authorization.
Custom product designs developed specifically for Customer applications may be subject to separate intellectual property agreements as mutually agreed.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or relating to these Terms shall be resolved through binding arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules.
The arbitration shall be conducted in English and Chinese, with the seat of arbitration in Shanghai, China.
